Terms of Service

1. Acceptance of terms

By accessing or using the SyntaxEror website or engaging our software engineering services you agree to these Terms of Service (“Terms”). If you do not agree you must not use our site or services.

2. Our services

SyntaxEror SARL (“we”, “us”,“our”) provides custom software design, development, and related consulting. All work is delivered either under a fixed-price statement of work or on a time-and-materials basis at an agreed hourly rate. Any specific deliverables, timelines, and assumptions will be described in a separate written proposal or contract (“Engagement”).

3. Client responsibilities

• Provide accurate project requirements and constraints.
• Supply timely feedback, approvals, and any assets required to perform the work.
• Maintain all required licenses and permissions for third-party content you supply.

4. Fees and payment

• Invoices are issued in Euro (EUR) orUnited States Dollar (USD). For clients located in Tunisia we may issue invoices in Tunisian Dinar (TND). Any other currency requires written agreement before work begins.
• Payment terms are net 15 days from the invoice date. Late payments may incur a finance charge of 1 percent per month.
• All fees are exclusive of applicable taxes and duties, which you agree to pay according to Tunisian law.

5. Intellectual property and licenses

Upon full payment you receive a worldwide, royalty-free license to use the deliverables for the purpose described in the Engagement. We may reuse generic underlying libraries, frameworks, or know-how that we developed independently or that are licensed as open-source.

6. Confidentiality

Each party agrees to keep confidential any non-public information received from the other and to use it only for purposes of the Engagement. This obligation survives for three years after the end of the Engagement.

7. Warranties and disclaimers

We warrant that our services will be performed with reasonable skill and care consistent with industry standards. Except for this express warranty the services and deliverables are provided “as is” without any other warranties, express or implied.

8. Limitation of liability

To the maximum extent permitted by Tunisian law our total liability for any claim arising out of these Terms or an Engagement will not exceed the total fees you actually paid to us for the specific deliverable that gave rise to the claim. We are not liable for any indirect, incidental, or consequential damages.

9. Termination

Either party may terminate an Engagement with 14 days written notice. You are responsible for payment of all work completed through the termination date.

10. Governing law

These Terms are governed by and construed in accordance with the laws of the Republic of Tunisia. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Tunis.

11. Changes to these Terms

We may update these Terms from time to time. When we do we will revise the “Effective date” above. Continued use of the site or our services after a change means you accept the updated Terms.
